These Terms and Conditions (“Terms”) govern access to and use of wellnessmedx.com and applicable websites, landing pages, forms, appointment-request systems, scheduling tools, laboratory onboarding forms, educational materials, communications, and related digital services operated by or on behalf of Wellness Medicine Center X / WellnessMedX (“WellnessMedX,” “we,” “our,” or “us”).

By accessing or using an applicable WellnessMedX website or digital service, you acknowledge that you have read and understand these Terms.

Do not use the website or applicable digital service if you do not agree to these Terms.

Certain services may require separate agreements, informed consents, authorizations, financial terms, or clinical documents. Those additional documents will also apply to the applicable service.

WellnessMedX provides integrative wellness and whole-body optimization services that may include:

• Hormone balance and hormone optimization
• Medical weight management
• Functional laboratory testing
• Gut and immune support
• Injury recovery support
• Joint injections
• Shockwave therapy
• Recovery support
• Sexual wellness
• Infrared sauna
• Hydrogenated water
• Anti-aging support
• Long-term wellness optimization
• Related provider-guided wellness services

Services vary based on individual needs, provider evaluation, clinical appropriateness, medical history, laboratory findings, patient location, provider availability, licensing requirements, and applicable law.

Not every service is appropriate, available, recommended, or legally permitted for every individual.

Content provided through the WellnessMedX website, articles, service pages, videos, graphics, emails, social media, downloadable materials, or general communications is intended for educational and informational purposes.

General website information is not intended to:

• Diagnose a medical condition
• Replace a medical examination
• Replace individualized medical advice
• Replace laboratory interpretation by a qualified provider
• Replace care from an appropriately licensed healthcare professional
• Establish that a particular service is appropriate for you
• Direct you to start, stop, or change medication or treatment

The WellnessMedX website, online forms, introductory call requests, appointment requests, email, voicemail, and text messaging are not emergency communication systems.

Do not use these services for urgent or emergency medical concerns.

Accessing or using the WellnessMedX website does not automatically create a provider-patient relationship.

A provider-patient relationship is not established solely because you:

• Visit or browse the website
• Read educational information
• Submit a general contact form
• Request an introductory call
• Send an email or text message
• Leave a voicemail
• Submit an appointment request
• Complete a questionnaire or onboarding form
• Upload identification or another document
• Receive general information from administrative personnel

A provider-patient relationship may be established only after applicable legal, clinical, administrative, consent, evaluation, and acceptance requirements have been completed and an authorized provider agrees to provide care.

WellnessMedX generally follows a provider-guided four-step process. The exact process may vary based on the requested service, individual needs, clinical appropriateness, provider recommendations, and applicable requirements.

Submitting the WellnessMedX Schedule Call form is a request for a WellnessMedX team member to contact you.

Submission of the form is not a confirmed appointment.

An introductory call or other appointment is considered scheduled only when:

• You complete a booking through an authorized WellnessMedX scheduling calendar; or
• A WellnessMedX team member creates and confirms the appointment.

After a call request is submitted, WellnessMedX may contact you using your selected or authorized communication method.

Response timing may vary based on business hours, staffing, request volume, holidays, technical availability, and the ability to reach you.

Access to the website, completion of an online form, payment for a preliminary service, or completion of laboratory testing does not guarantee eligibility for a particular treatment, program, prescription, procedure, medication, or ongoing service.

WellnessMedX providers retain appropriate clinical discretion and may determine that:

• Additional information or testing is needed
• An in-person evaluation is appropriate
• A service is not clinically appropriate
• A service is not available in your location
• Referral to another healthcare professional is appropriate
• Emergency or higher-acuity evaluation is needed
• WellnessMedX is unable to accept or continue care

A provider may modify, decline, pause, or discontinue a recommendation or service when reasonably necessary for clinical, legal, safety, licensing, compliance, or professional reasons.

You agree to provide complete and accurate information when requesting, scheduling, or attending an appointment.

You are responsible for:

• Reviewing appointment details
• Maintaining accurate contact information
• Attending scheduled appointments
• Following preparation instructions
• Providing requested information and documentation
• Informing WellnessMedX when information changes
• Requesting cancellation or rescheduling as early as possible
• Following any disclosed cancellation or rescheduling policy

Appointment availability is not guaranteed.

WellnessMedX may reschedule, cancel, modify, delay, or decline an appointment when reasonably necessary because of provider availability, incomplete information, clinical concerns, technical problems, emergencies, licensing limitations, safety concerns, severe weather, business interruption, or another appropriate reason.

Any cancellation, rescheduling, missed-appointment, deposit, payment, or refund policy disclosed during scheduling or purchase will apply to the applicable appointment.

WellnessMedX may offer telehealth services when clinically appropriate and legally permitted.

Telehealth availability may depend on:

• Your physical location at the time of service
• Provider licensing and authorization
• Provider availability
• Technology access and reliability
• The requested service
• Clinical appropriateness
• Applicable laws, rules, and professional requirements

Telehealth may have limitations compared with an in-person examination.

A provider may determine that an in-person visit, physical examination, local laboratory service, diagnostic testing, emergency evaluation, specialist consultation, or another form of care is more appropriate.

Access to the website or submission of a form does not guarantee eligibility for telehealth services.

WellnessMedX may coordinate comprehensive blood testing, functional laboratory testing, or related laboratory services when appropriate.

The laboratory process may include:

• Patient onboarding
• Identity verification
• Government-issued photo identification
• Required acknowledgments and informed consent
• Laboratory orders
• Blood draw instructions
• Morning or fasting instructions when appropriate
• A blood draw at WellnessMedX
• A blood draw through an outside laboratory or partner
• Laboratory processing
• Provider review
• A consultation or discussion of appropriate next steps

Laboratory requirements and instructions may vary. Follow the instructions provided for your specific laboratory order.

Failure to follow preparation or blood draw instructions may affect laboratory results and may require repeat testing.

Laboratory reference ranges, processing times, testing methods, result availability, and reporting formats may vary by laboratory.

Certain WellnessMedX laboratory services may be offered on a self-pay basis.

The currently displayed price for the WellnessMedX Comprehensive Blood Tests laboratory panel is $350 self-pay, unless another amount is disclosed before purchase or service.

Payment timing may depend on whether the blood draw occurs:

• At the WellnessMedX Santa Clarita clinic; or
• Through an outside laboratory or authorized laboratory partner.

Additional costs may apply when disclosed, including costs associated with additional testing, repeat testing, outside laboratory services, consultation services, add-on services, or services not included in the selected laboratory panel.

Review applicable pricing and payment information before completing a purchase or service.

You agree to pay applicable fees disclosed before purchase or service.

Prices, fees, available services, membership terms, and promotional offers may change when permitted by applicable law.

Any applicable refund policy, cancellation policy, subscription policy, membership agreement, deposit requirement, laboratory payment policy, payment-plan agreement, or financial consent presented during scheduling, enrollment, or purchase will become part of the agreement governing that service.

You are responsible for reviewing applicable financial terms before authorizing payment.

WellnessMedX does not guarantee insurance coverage, reimbursement, health savings account eligibility, flexible spending account eligibility, or payment by another benefit program.

Unless specifically stated otherwise, you are responsible for determining whether a service may qualify for insurance or other reimbursement and for providing any required documentation to the applicable payer.

When you provide contact information, request communication, submit a form, schedule an appointment, or otherwise authorize communication, WellnessMedX may contact you as authorized or legally permitted.

Communications may include:

• Inquiry and form-submission acknowledgments
• Introductory call coordination
• Appointment scheduling
• Appointment confirmations and reminders
• Rescheduling information
• Laboratory onboarding
• Blood draw coordination
• Testing-process updates
• Requested service information
• Patient-support and customer-care responses

Wireless carriers are not responsible for delayed or undelivered messages.

Message delivery may depend on carrier networks, telephone number accuracy, device availability, service interruptions, and other conditions outside WellnessMedX’s control.

After an opt-out request, WellnessMedX may send one message confirming that the request was received.

Opting out of text messaging does not prevent WellnessMedX from communicating through another authorized or legally permitted method when appropriate.

Standard email and text messaging may not always be encrypted or secure.

Do not send unnecessary sensitive medical, financial, identification, payment, or other confidential information through a general website form, general email address, or standard text message.

Use an authorized secure communication method when WellnessMedX provides or requests one.

WellnessMedX cannot guarantee the security, confidentiality, availability, or delivery of information transmitted through an unsecured communication method selected, initiated, or authorized by a user.

You agree to provide information that is accurate, complete, current, and authorized.

You agree not to:

• Impersonate another person
• Submit false, misleading, or materially incomplete information
• Submit identification that does not belong to you
• Submit another person’s information without authorization
• Use another person’s contact information without permission
• Misrepresent appointment, laboratory, health, or payment information
• Intentionally conceal information that may be relevant to safe or appropriate care

WellnessMedX may delay, suspend, decline, or discontinue an online process, appointment request, or service when information is incomplete, inaccurate, inconsistent, unauthorized, potentially fraudulent, or insufficient for the requested process.

When uploading identification, photographs, forms, records, laboratory documents, images, or other files, you represent that:

• The information is accurate to the best of your knowledge
• You are authorized to provide the information
• The file does not unlawfully violate another person’s rights
• The file does not contain malicious software or harmful code
• The information is reasonably related to the requested process

Do not upload unrelated files or unnecessary sensitive information.

You are responsible for participating honestly and appropriately in applicable WellnessMedX processes.

Responsibilities may include:

• Providing accurate information
• Disclosing relevant health history when requested
• Reporting medications and supplements when requested
• Following laboratory or appointment preparation instructions
• Asking questions when instructions are unclear
• Reviewing applicable informed consent information
• Informing a provider of important changes or concerns
• Following agreed financial and appointment policies
• Seeking emergency care when appropriate

You remain responsible for your personal healthcare decisions and for seeking appropriate care when symptoms or concerns require evaluation.

You may use the WellnessMedX website and digital services only for lawful and authorized purposes.

You may not:

• Attempt unauthorized access to a system, account, or record
• Interfere with website or system operation
• Introduce malware, viruses, automated attacks, or harmful code
• Bypass or attempt to defeat security measures
• Access or attempt to access another person’s information
• Scrape, harvest, or extract data without authorization
• Copy website content for unauthorized commercial use
• Submit fraudulent, unlawful, threatening, abusive, or harmful material
• Interfere with appointment, payment, laboratory, form, or communication systems
• Use the website in a manner that may harm WellnessMedX, patients, users, vendors, or others

WellnessMedX may restrict, suspend, investigate, or terminate access when misuse, unlawful activity, a security concern, or a material violation of these Terms is suspected.

The WellnessMedX website and related materials may include:

• Service descriptions
• Brand names and logos
• Graphics and illustrations
• Photographs and videos
• Designs and page layouts
• Educational materials
• Downloadable resources
• Software and code

Unless otherwise stated, applicable content is owned by, licensed to, or used with authorization by WellnessMedX and may be protected by copyright, trademark, and other intellectual-property laws.

You may view website content for personal, lawful, noncommercial informational use.

You may not reproduce, republish, distribute, sell, modify, publicly display, license, commercially exploit, or create derivative commercial materials from protected WellnessMedX content without applicable authorization.

WellnessMedX may use, integrate with, or provide links to third-party services involving:

• Scheduling
• Clinical laboratories
• Payment processing
• Website and form hosting
• Customer relationship management
• Electronic signatures
• Video communication
• Email, telephone, and text messaging
• Maps and location tools
• Social media
• Website analytics
• Other technology, administrative, wellness, or healthcare services

Independent third-party services may be governed by their own terms, privacy policies, security practices, availability, service limitations, and operating requirements.

WellnessMedX does not control the independent content, availability, privacy practices, or terms of third-party websites and services.

Use of applicable WellnessMedX websites, forms, and digital services is also subject to the WellnessMedX Privacy Policy.

Certain health information may also be governed by a separate Notice of Privacy Practices, patient agreement, informed consent, laboratory authorization, healthcare privacy law, or another applicable clinical or legal document.

These Terms do not replace a Notice of Privacy Practices when a separate notice is required or provided.

Health, wellness, laboratory, hormone, recovery, body composition, weight-management, performance, and other outcomes vary by individual.

Results may be affected by factors including:

• Age
• Medical and wellness history
• Existing health conditions
• Genetics
• Medications
• Supplements
• Nutrition
• Physical activity
• Sleep
• Stress
• Treatment adherence
• Laboratory findings
• Follow-up participation
• Individual biological response
• Other personal and clinical factors

WellnessMedX does not guarantee:

• A particular outcome
• A specific timeline
• Eligibility for a particular service
• Improvement in a particular symptom
• A particular weight-management result
• A particular hormone-related result
• A particular recovery or performance result
• A particular laboratory result
• Prevention of an illness or injury
• A cure
• Permanent resolution of a condition

WellnessMedX services are designed to support personalized, provider-guided integrative wellness care when clinically appropriate. Results vary.

WellnessMedX does not guarantee that the public website, forms, communication tools, or other digital services will always be:

• Available
• Uninterrupted
• Error-free
• Completely secure
• Compatible with every device or browser
• Free from technical problems

Digital services may be modified, interrupted, limited, suspended, or unavailable because of maintenance, updates, internet outages, system failures, security concerns, communication-provider issues, vendor issues, emergencies, or circumstances outside WellnessMedX’s control.

To the fullest extent permitted by applicable law, the public website and general website content are provided on an “as available” basis.

WellnessMedX does not make a warranty regarding:

• Continuous website availability
• Website accuracy in every circumstance
• Third-party websites or services
• Third-party laboratory systems
• Internet, email, or wireless-carrier availability
• Compatibility with every device
• Eligibility for a service
• Individual health or wellness outcomes

Nothing in these Terms excludes a warranty, responsibility, duty, remedy, or legal right that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, WellnessMedX and its owners, personnel, representatives, contractors, and authorized service providers will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the public website or general website content.

This section does not:

• Exclude liability that cannot lawfully be excluded
• Limit non-waivable patient or consumer rights
• Modify duties established under applicable healthcare law
• Replace or alter a separate patient-service agreement
• Limit responsibilities that cannot legally be limited

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, or reasonable expenses resulting from:

• Your unlawful or intentionally improper use of the website
• Your intentional misuse of a WellnessMedX system
• Information or documents submitted without authorization
• Your intentional violation of another person’s rights
• Your material violation of these Terms

This provision does not limit any protection, remedy, or right that cannot lawfully be limited or waived.

These website Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except when another law is required to apply.

Unless applicable law requires otherwise, a legal proceeding concerning only these public website Terms may be brought in a court with appropriate jurisdiction in Los Angeles County, California.

This governing-law section does not override a legally required venue, jurisdiction, arbitration provision, healthcare requirement, or non-waivable right that applies under another agreement or law.

WellnessMedX may update these Terms periodically to reflect changes in:

• Technology

• Legal or regulatory requirements

Severability

Separate patient agreements, informed consents, financial policies, membership agreements, laboratory authorizations, Notices of Privacy Practices, and other service-specific documents may apply in addition to these website Terms.

When a service-specific agreement lawfully provides more specific terms for that service, the service-specific agreement will control regarding that subject to the extent permitted by applicable law.
